Contracts: clear agreements, signed and properly tracked
Contracts frame your relationships with customers, suppliers and partners. For a Belgian SME, clear contracts limit misunderstandings and speed up sales. This page explains how to draft them, have them signed online and keep track of them over time. It also presents our resources and explains when to involve a professional.
Essential clauses in your contracts
A good agreement first identifies the parties and the purpose of the assignment clearly. It then sets out the price, payment terms, duration and termination conditions. Liability, confidentiality and intellectual property clauses also protect your work. Also describe precisely what the assignment does not include, because disputes often start in those grey areas. Finally, state the applicable law, the competent court and the language of the document, a useful point in Belgium. Clear wording matters more than legal jargon.
Your general terms and conditions complete these documents. Make them available before the order, for example on your website and quotes, so that they actually apply. Belgian law also restricts unfair terms, including between businesses. If you process personal data for a client, add a GDPR-compliant data processing agreement. Review your terms every year to reflect changes in your offer. Also translate them into your customers' languages, and keep them short and readable.
Signing contracts online with full legal effect in Belgium
The European eIDAS regulation recognises electronic signatures. A qualified signature, available for instance with the Belgian electronic identity card, has the same effect as a handwritten one. For most commercial agreements, a simple or advanced electronic signature is enough, provided you keep evidence: timestamps, email address and a log of each step. However, check whether certain deeds require a specific form. Signing online saves time, especially with distant clients. Keep the signed file and its evidence together in a secure archive.
Common mistakes look alike. An old template that nobody updates, a signed version that nobody can find or a forgotten renewal date can all prove costly. Therefore, centralise your contracts, use approved templates and schedule reminders before each deadline. A dashboard listing active contracts, their amounts and key dates gives you a clear overview. Also make one person responsible for following up each deadline.
Our articles on contracts and how Espero-Soft can help
Our article on electronic contracts presents a complete tool to draft, edit and sign documents online. It covers templates, the TipTap editor, multilingual reminders and the automatic sending of the signed PDF. You will see how to reduce email back-and-forth and keep every version in one place. This example shows what a well-equipped process changes in daily work. It also illustrates how templates keep your documents consistent and gives a concrete picture of the whole workflow.
Have a lawyer review your templates, since the legal content commits your company. For the technical side, however, Espero-Soft can help: generating documents from your data, electronic signature built into your platform and structured archiving. We can also link signing to invoicing, so that the invoice goes out as soon as the client signs. We adapt these tools to your business and working languages. Our team explains each option in plain language.
